WARRANTS EXCHANGE AGREEMENT BETWEEN THE COMPANY AND MALAYSIAN AIRLINE SYSTEM BERHAD (“MAS”)
Reference is made to the announcement dated 9 August 2011 where it was announced that the Company is proposing to undertake a proposed warrants exchange exercise with MAS (“Proposed Warrants Exchange Exercise”) and that a formal warrants exchange agreement in relation to the Proposed Warrants Exchange Exercise will be entered into between the Company and MAS in due course.
Further thereto, CIMB Investment Bank Berhad on behalf of the Board of Directors of AirAsia wishes to announce that the Company had on 21 October 2011 entered into the warrants exchange agreement with MAS.
The Proposed Warrants Exchange Exercise is subject to the following conditions being fulfilled no later than three months from the date hereof (or such other period as may be mutually agreed between the parties):
(a) (i) the approval of the shareholders of MAS; and
(ii) the approval of the shareholders of AirAsia;
subject to and in accordance with the applicable requirements of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”);
(b) the approval of the Securities Commission;
(c) the approval of Bursa Securities, for the following:
(i) the admission of the MAS warrants and AirAsia warrants to the Official List of Bursa Securities; and
(ii) the listing of and quotation for the MAS warrants and AirAsia warrants as well as the new MAS and AirAsia shares to be issued arising from the exercise of the MAS warrants and AirAsia warrants, on the Main Market of Bursa Securities;
(d) the approval of Bank Negara Malaysia, for the issuance of the MAS and AirAsia warrants to non-resident shareholders; and
(e) the approvals or consents of all relevant third parties, where required, for AirAsia and MAS to undertake the Proposed Warrants Exchange Exercise.
The salient terms of the AirAsia warrants and MAS warrants are as disclosed in the announcement dated 9 August 2011.
The Warrants Exchange Agreement will be available for inspection during normal business hours at the Company’s registered office from Mondays to Fridays (except public holidays) from the current date up to and including the date of the extraordinary general meeting to approve the Proposed Warrant Exchange Exercise which will be announced at a later date.
